1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Reno Labs, LLC, a Delaware limited liability company with offices at 131 Continental Dr Suite 305, Newark, DE 19713, US ("Jobim," "we," "us," or "our").

These Terms govern your access and use of:

• Our mobile application ("App")
• Our website(s) where these Terms are posted
• All related content, products, and services (collectively, the "Service")

By downloading, installing, or using the Service in any manner, you:

• Acknowledge that you have read and understood these Terms
• Agree to be bound by these Terms
• Agree to comply with all applicable laws and regulations

IF YOU DO NOT AGREE TO ALL TERMS AND CONDITIONS IN THESE TERMS, DO NOT ACCESS OR USE THE SERVICE, CANCEL ANY ACCOUNT, AND IMMEDIATELY UNINSTALL THE APP.

2. Changes to Terms and Service

Changes to These Terms

We may update these Terms from time to time in our sole discretion, for example:

• When we add or remove features or services
• To comply with legal, regulatory, or contractual requirements
• In response to exceptional or unforeseen circumstances

We will notify you of material changes by:

• Revising the "Last Updated" date at the top of these Terms
• Posting a notification in the App
• Sending an email notification (if you have provided your email address)
• Displaying a pop-up or push notification within the Service

Unless otherwise noted, updated Terms will be effective as of the time we post them. By continuing to use the Service after updates become effective, you agree to be bound by the updated Terms. If you do not agree to the updated Terms, you must immediately stop using the Service and uninstall the App.

Changes to the Service

We may update, change, suspend, or discontinue the Service (or any part, content, or feature) at any time, without notice and without liability to you, for example:

• To offer or test new features, technologies, or services
• To repair, improve, or further develop the Service
• To comply with legal or regulatory requirements
• In response to exceptional or unforeseen circumstances

Some features may not be available in all countries, in all languages, or on all device models.

3. Privacy

Your privacy is important to us. Please refer to our Privacy Policy for information on how we collect, use, protect, and share your personal data when you use the Service.

By using the Service, you also agree to our Privacy Policy.

4. Eligibility

OUR SERVICE IS NOT AVAILABLE TO INDIVIDUALS UNDER THE AGE OF 16.

Age Requirements:

• You must be at least 16 years old to create an account and use the Service
• If you are over 16 but under the legal age of majority in your jurisdiction, your parent or guardian must review and agree to these Terms on your behalf and supervise your use of the Service

YOU MAY NOT ACCESS OR USE THE SERVICE IF YOU:

• Do not agree to these Terms
• Are not of legal age to form a binding contract with us, or your parent/legal guardian has not agreed to these Terms and your use of the Service
• Are prohibited by applicable law from accessing or using the Service

5. End User License

License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, revocable, non-transferable, non-sublicensable, non-exclusive license to:

• Use the Service for your personal, non-commercial purposes
• Download and install a copy of the App on devices that you own or control

License Restrictions

Except as expressly permitted by these Terms and applicable law, you cannot:

• Rent, lease, lend, sell, distribute, sublicense, or otherwise transfer or make available the Service to any third party
• Copy, decompile, reverse engineer, disassemble, or attempt to derive the source code of the Service
• Modify, alter, mimic, adapt, translate, or create derivative works of the Service
• Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices
• Use the Service for any commercial purpose without our prior written consent
• Access the Service through automated means (bots, scrapers, etc.)

6. Subscriptions, Credit System, and Purchases

Jobim Credit System

Jobim uses a credit-based system for AI portrait generation and certain enhancement features. Credits can be obtained through:

1. Subscriptions: Active subscribers may receive recurring credit allowances and/or access to premium features (as described in the App)
2. Credit Packages: Purchase one-time credit packages through in-app purchase
3. Ad-Supported Credits: Watch advertisements to earn promotional credits. IMPORTANT: Ad-supported credits are currently available to users in the United States ONLY due to advertising partner agreements and regulatory compliance. If you relocate outside the United States, ad-supported credit earning may become unavailable. Any unused ad-earned credits will remain in your account until their expiration (14 days from earning date) or use, whichever comes first.

No Free Tier

Jobim does not offer a "free tier" or free processing without the use of credits or an active subscription. All photo enhancements and AI generations require valid credits (purchased, subscription-based, or ad-earned where available). Promotional credits may be provided at Jobim's sole discretion.

Usage Modes and Costs

Different features consume credits at different rates:

• Single Generation: Process a specific number of images or requests for a set number of credits.
• Pack/Category Unlock: Unlock a full set or "pack" of generation styles for a category-wide credit fee.

Specific pricing and credit requirements for each feature are displayed within the App prior to processing and are subject to change.

Subscription Plans

We may offer subscription options (for example, weekly or monthly plans). Current offerings, pricing, and benefits are shown in the App and may vary by region.

• Weekly Subscription: Auto-renews weekly (if available)
• Monthly Subscription: Auto-renews monthly (if available)

Auto-Renewal

To cancel auto-renewal:

• Open Settings on your iOS device
• Tap your name, then Subscriptions
• Select Jobim subscription
• Tap Cancel Subscription

Cancellation takes effect at the end of the current billing period. You will retain access to subscription features until that time.

Credit Expiration

• Subscription Credits: Subscription benefits apply while your subscription is active. Subscription credit allowances (e.g., weekly credits) reset at the end of each billing period. Unused subscription credits do not roll over to the next period and will expire if not used.
• Purchased Credits: Credits purchased as part of a one-time "Package" generally do not expire and remain available until used (unless required by applicable law or otherwise disclosed in the App at time of purchase).
• Ad-Earned Credits: Expire 14 days after they are earned.

Fairness Note (Consumption Priority): If you have multiple types of credits, we apply credits that expire sooner before credits that do not expire. For example, subscription-based credits or ad-earned credits are used before credits from a purchased Package.

To help you understand how our credit system works, please review these common scenarios:

Pricing and Payment

• All prices are displayed in your local currency as determined by the Apple App Store
• Prices are subject to change at any time
• Payment will be charged to your Apple ID account at confirmation of purchase
• All transactions are processed through the Apple App Store

Refunds

All purchases are final and non-refundable except as required by law. Refund requests are handled by Apple according to their policies.

Courtesy Credit Refunds

In the event of a significant technical failure that prevents an AI generation job from completing successfully, Jobim may, at its sole discretion, issue a "Courtesy Credit" refund to your account balance. These credits are non-transferable and have no cash value.

We cannot process refunds directly. All refund decisions are at Apple's discretion.

Free Trial (If Applicable)

If we offer a free trial, you will be charged the subscription fee when the trial period ends unless you cancel before the trial expires. Free trials are available only once per user.

7. Prohibited Uses

You agree NOT to use the Service to:

1. Violate Laws: Engage in any illegal activity or violate any local, state, national, or international law
2. Infringe Rights: Violate intellectual property rights, privacy rights, publicity rights, or other rights of any person or entity
3. Harm Minors: Exploit, harm, or attempt to exploit or harm minors in any way, including exposure to inappropriate content or data collection
4. Harass or Abuse: Harass, abuse, threaten, defame, or intimidate any person or group
5. Impersonate: Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
6. Spam or Phish: Transmit spam, phishing attempts, or other unsolicited communications
7. Malicious Activity: Transmit viruses, malware, or any other malicious code or engage in hacking or unauthorized access
8. Interfere with Service: Attempt to interfere with, compromise, or disrupt the Service or servers/networks connected to the Service
9. Circumvent Restrictions: Attempt to bypass any security measures, usage limits, or safety filters
10. Commercial Use Without Permission: Use the Service for any commercial purpose without our prior written consent

8. Generative AI Features

The Service includes features that use generative artificial intelligence to create portrait images based on your uploaded photos (the "Generative AI Features").

How Generative AI Works

• Output: Our AI models generate new images or modifications based on your Input.
• AI Remix: Allows you to modify or refine existing AI-generated content through new descriptions or style selections. This process consumes credits and is subject to all usage and safety rules defined in these Terms.
• Ownership: As between you and us, you own both your Input and the resulting Output.

Prohibited AI Content

When using Generative AI Features, you WILL NOT and will not permit anyone using your account to:

1. Child Exploitation: Upload, generate, or distribute content that facilitates the exploitation or abuse of children, including all child sexual abuse materials (CSAM) and any portrayal of children that could result in sexual exploitation. ZERO TOLERANCE.
2. Sexually Explicit Content: Upload, generate, or distribute sexually explicit content, pornography, or any content intended to be sexually gratifying
3. Non-Consensual Content: Create deepfakes or other AI-generated images of real people without their explicit consent, especially for deceptive, defamatory, or harmful purposes
4. Illegal Activities: Generate or distribute content that:
   • Facilitates or promotes illegal activities
   • Violates any law or regulation
   • Promotes violence, terrorism, or dangerous activities
5. Hate Speech: Upload, generate, or distribute content that promotes violence or incites hatred against individuals or groups based on race, ethnicity, religion, disability, age, nationality, veteran status, sexual orientation, gender, gender identity, or any other protected characteristic
6. Harmful Content: Generate or distribute content that:
   • Depicts gratuitous violence
   • Encourages self-harm or suicide
   • Promotes dangerous or illegal use of weapons, drugs, or explosives
7. Misinformation: Generate or distribute content intended to misinform, misrepresent, mislead, exploit, or harm others, including fake news or manipulated images presented as authentic
8. Service Abuse: Attempt to override or circumvent safety filters or intentionally drive the Generative AI Features to act in a manner that contravenes these Terms.
9. Deceptive Content: Use AI Composer or Remix to create deceptive content, including non-consensual sexual content or political misinformation.

Safety and Moderation

We implement technical safeguards and safety filters to prevent the generation of prohibited content. This includes on-device content analysis using Apple's SensitiveContentAnalysis framework, which screens content locally on your device without sending images to external servers for safety checking. Additional server-side safety filters are applied during AI generation.

However, AI is an evolving technology and may occasionally produce unexpected results. If you encounter inappropriate, offensive, or inaccurate content, please use the "Report" feature (flag icon) within the app to flag it for review. We may take action based on these reports, including removing content or terminating accounts for repeated violations.

Third-Party Personas and Authorization

Jobim allows you to create "Personas" for yourself and others. You are solely responsible for ensuring you have obtained all necessary rights, consents, and authorizations from any individual whose likeness you upload or process through the Service.

By creating a Persona for another person, you represent and warrant that:

• You have received explicit, informed consent from that person to use their likeness for AI generation.
• You will not use the likeness for deceptive, defamatory, or harmful purposes.
• You will immediately delete the Persona if consent is withdrawn.

AI Content Disclaimers

You acknowledge and agree that:

• AI-generated images are artificial creations and may not be perfect
• AI models can sometimes produce unexpected, inaccurate, or inappropriate results despite our safety measures
• We do not guarantee the quality, accuracy, or appropriateness of any Output
• You are solely responsible for how you use and distribute AI-generated images
• You should disclose when sharing AI-generated images that they are AI-created, especially if used for professional or public purposes

9. User Content and Intellectual Property

Your Content Ownership

You retain ownership of all content you upload to Jobim, including:

• Reference photos (selfies)
• Photos you enhance using enhancement features
• AI-generated portrait images created using your reference photos

License You Grant to Us

By uploading content to the Service, you grant Jobim a limited, non-exclusive, worldwide, royalty-free license to:

• Process your images through AI models to provide the Service
• Store your images to maintain your Gallery and enable future AI generation
• Use anonymized or de-identified images for service improvement and bug fixing (with appropriate safeguards as described in our Privacy Policy)

We will NOT:

• Sell your images to third parties
• Claim ownership of your images
• Use your images to train our own AI models without your explicit permission
• Display your images publicly without your permission

Our Intellectual Property

All rights, title, and interest in and to the Service (excluding User Content) are and will remain the exclusive property of Jobim and its licensors, including:

• The Jobim app, software, and technology
• AI models and algorithms
• Trademarks, logos, and branding
• All copyrights, trade secrets, and other intellectual property rights

Feedback

If you provide us with any feedback, suggestions, or ideas about the Service ("Feedback"), you grant us the right to use such Feedback without any obligation or compensation to you.

10. Content Moderation

We reserve the right (but have no obligation) to:

• Review, monitor, or moderate User Content
• Remove or refuse to display any User Content that violates these Terms
• Suspend or terminate accounts that repeatedly violate these Terms
• Report illegal content to law enforcement authorities
• Cooperate with law enforcement investigations

We use automated systems and safety filters to help prevent prohibited content, but no system is perfect. We rely on users to report violations.

10A. Copyright and DMCA Takedown Procedure

We respect the intellectual property rights of others and expect our users to do the same.

Prohibited Conduct

You may not upload, generate, or share content that:

• Infringes any copyright, trademark, or other intellectual property rights
• Uses copyrighted images (including celebrity photos, stock photos, or professional photography) without proper authorization
• Violates any third party's rights of publicity or privacy

DMCA Takedown Notices

If you believe that content on Jobim infringes your copyright, you may submit a takedown notice under the Digital Millennium Copyright Act (DMCA). Your notice must include:

1. A physical or electronic signature of the copyright owner or authorized representative
2. Identification of the copyrighted work claimed to have been infringed
3. Identification of the infringing material and information reasonably sufficient to locate it (e.g., URL, description, screenshot)
4. Your contact information (name, address, telephone number, email address)
5. A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law
6. A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner

Counter-Notification

If you believe your content was removed in error, you may submit a DMCA counter-notification containing:

1. Your physical or electronic signature
2. Identification of the material that was removed and its location before removal
3. A statement under penalty of perjury that you have a good faith belief the material was removed by mistake or misidentification
4. Your name, address, telephone number, and a statement consenting to jurisdiction of the Federal District Court for the judicial district in which your address is located (or Delaware if outside the U.S.)

Repeat Infringer Policy

We will terminate the accounts of users who are repeat copyright infringers in accordance with the DMCA and other applicable laws.

Note: Misrepresenting that content is infringing may result in liability for damages under Section 512(f) of the DMCA.

11. Third-Party Services

Apple App Store

The App is available through the Apple App Store. Your use of the App is also subject to Apple's terms and guidelines, including the Apple Media Services Terms and Conditions.

AI Service Providers

We use third-party AI service providers (for example, Replicate) to power our AI features. Your images are processed by these providers in accordance with our agreements with them and their privacy policies.

Advertising Partners

If you choose to watch ads to earn credits, third-party advertising networks may collect data about your device and ad interactions according to their privacy policies.

Authentication Providers

Jobim offers the following sign-in options:

• Sign in with Apple: We receive a unique identifier and, if you choose to share it, your email address and name. Apple's Privacy Policy: https://www.apple.com/legal/privacy/
• Google Sign-In: We receive an account identifier and profile information (such as email and name) according to your Google settings and permissions. Google's Privacy Policy: https://policies.google.com/privacy

All authentication is handled securely through these providers' OAuth protocols. We do not store your password.

No Endorsement

We do not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any third-party content or services.

12. Disclaimers and Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free operation

WE MAKE NO WARRANTY THAT:

• The Service will meet your requirements or expectations
• The Service will be available at any particular time or location
• AI-generated images will be of satisfactory quality or accuracy
• Any defects or errors will be corrected
• The Service is free of viruses or other harmful components

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOBIM SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Business interruption
• Loss of privacy

This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damage.

IN NO EVENT SHALL JOBIM'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Jobim, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use or misuse of the Service
• Your User Content
• Your violation of any rights of another person or entity
• Your violation of any applicable laws or regulations

15. Apple App Store Specific Terms

The following additional terms apply if you access the App through the Apple App Store:

Acknowledgement

These Terms are concluded between you and Jobim, and not with Apple Inc. or its subsidiaries ("Apple"). As between Jobim and Apple, Jobim is solely responsible for the App and its content.

Scope of License

You may only use the App on an Apple-branded device that you own or control and as permitted by the Apple Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with your account via Family Sharing or volume purchasing.

Maintenance and Support

Apple has no obligation to furnish any maintenance and support services with respect to the App. Any such services are provided solely by Jobim.

Warranty

In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple may refund the App purchase price to you (if applicable). To the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever with respect to the App.

Product Claims

Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and use of the App, including:

• Product liability claims
• Claims that the App fails to conform to any applicable legal or regulatory requirement
• Claims arising under consumer protection, privacy, or similar legislation

Intellectual Property Rights

In the event of any third-party claim that the App infringes that third party's intellectual property rights, Jobim (not Apple) will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

Third-Party Beneficiary

Apple and its subsidiaries are third-party beneficiaries of these Terms, and Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

16. Export Control and International Use

You may not use or otherwise export or re-export the App except as authorized by United States law and the laws of the jurisdiction in which the App was obtained.

In particular, but without limitation, the App may not be exported or re-exported:

• Into any U.S.-embargoed countries
• To anyone on the U.S. Treasury Department's Specially Designated Nationals List
• To anyone on the U.S. Department of Commerce Denied Persons List or Entity List

By using the App, you represent and warrant that you are not located in any such country or on any such list.

17. Term and Termination

Term

These Terms remain in full force and effect while you use the Service.

Termination by You

You may discontinue using the Service at any time by:

• Uninstalling the App from all your devices
• Canceling any active subscriptions
• Requesting account deletion by contacting support

Termination by Us

We reserve the right to suspend or terminate your access to the Service at any time, without notice, for any reason, including if:

• You violate these Terms
• You engage in prohibited conduct
• We are required to do so by law
• We discontinue the Service

Effects of Termination

Upon termination:

• Your license to use the Service immediately terminates
• You must cease all use of the Service and uninstall the App
• We may delete your account and all associated data
• Unused credits may be forfeited in cases of termination for cause (for example, fraud, chargebacks, or repeated violations of these Terms), to the maximum extent permitted by law

Survival

The following provisions survive termination: Sections 9 (User Content), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), and 18 (General Provisions).

18. General Provisions

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved in the state or federal courts located in Delaware, and you consent to the exclusive jurisdiction of those courts.

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Jobim regarding your use of the Service and supersede all prior agreements and understandings.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
